Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Oowl.in, including the website at oowl.in, the web-based admin dashboard at app.owl.in, and the WhatsApp-based attendance and task management service (collectively, the “Service”). The Service is operated by Oowl (“Oowl”, “we”, “us”, or “our”), with its registered office in Yamunanagar, Haryana, India.

By registering for an account, connecting your organization to the Service, or using any part of the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

1. Eligibility and Account

You must be at least 18 years old to create an account. You agree to provide accurate and complete information during registration, including your name, business name, and contact details. You are responsible for maintaining the confidentiality of your admin dashboard credentials and for all activity that occurs under your account.

The individual who registers the organization is designated as the administrator. The administrator may add employees and additional managers. The administrator is responsible for ensuring that all added users are informed that they will interact with the Service through WhatsApp.

2. Description of the Service

Oowl provides a WhatsApp-based attendance and task management system. The Service allows employees to check in and check out, manage breaks, receive and update tasks, create personal tasks, request reports, and use supported voice-message commands through WhatsApp. Managers and administrators can assign tasks conversationally, review task drafts before confirming, monitor attendance, request reports, and manage organization settings and employees through the web dashboard.

Oowl is a tool for attendance and task management only. It is not a payroll system, a leave-approval system, a biometric or GPS-based attendance system, or a surveillance tool. We do not offer real-time location tracking, screenshots, or employee monitoring features.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful, fraudulent, or abusive purpose;
• Submit or transmit content that is defamatory, offensive, harassing, or infringes on someone else’s rights;
• Attempt to access, alter, or disrupt the Service, its systems, or other customers’ data;
• Use the Service to store or transmit confidential medical records, financial records, or any data subject to special legal protection;
• Reverse engineer, decompile, or attempt to extract the underlying source code or internal workings of the Service;
• Resell, sublicense, or redistribute access to the Service without written permission from Oowl.

4. Your Data and Responsibilities

You retain ownership of the data you submit to the Service, including employee names, attendance records, task assignments, and related information. You are responsible for ensuring that you have the necessary consent and legal basis to collect and process the personal data of your employees through the Service, including compliance with applicable Indian data protection laws.

Oowl processes and stores your organization’s data so that it remains isolated from other organizations using the Service. We do not share your organization’s operational data with other customers. Further details are in our Privacy Policy.

5. WhatsApp Integration

The Service interacts with users through WhatsApp. WhatsApp is a third-party platform owned and operated by Meta Platforms, Inc. Oowl is not affiliated with, endorsed by, or sponsored by WhatsApp or Meta. We do not control WhatsApp’s availability, policies, or functionality, and we are not responsible for any changes WhatsApp may make that affect message delivery or user experience.

You and your employees use WhatsApp at your own discretion. Standard WhatsApp messaging rates, data charges, and terms may apply as set by your mobile service provider and WhatsApp.

6. Plans and Pricing

Oowl offers subscription plans with pricing and employee limits as published on our website. The current Founders Offer provides special launch pricing for the first 20 organizations. The specific inclusions, employee limits, billing cycle, and offer duration should be confirmed directly with the Oowl team before onboarding.

Fees are payable in Indian Rupees (INR). If a paid subscription is introduced, any billing terms, invoicing, and renewal conditions will be communicated and agreed upon before payment is collected. Oowl does not collect payment through the landing page.

If your organization has more than 30 employees, contact us for a suitable plan.

7. Trial, Refunds, and Cancellation

Specific trial periods, refund policies, and cancellation terms, if applicable, will be communicated and agreed upon at the time of onboarding. You may stop using the Service at any time. If a paid plan is in place, cancellation terms will be detailed in your agreement with Oowl.

8. Service Availability

We strive to keep the Service available and reliable. However, the Service may be temporarily unavailable due to scheduled maintenance, system updates, events beyond our control (including WhatsApp platform issues), or other technical reasons. We do not guarantee uninterrupted or error-free operation and are not liable for downtime caused by third-party platforms or infrastructure.

9. Intellectual Property

The Service, including its design, branding, text, software, and underlying systems, is owned by Oowl and protected by applicable intellectual property laws. These Terms do not grant you any right to use the Oowl name, logo, or trademarks except as necessary to identify the Service within your organization.

10. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Oowl disclaims all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet all of your requirements, that it will be error-free, or that attendance or task records will always be complete or accurate.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Oowl, its owners, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service, even if Oowl has been advised of the possibility of such damages.

Oowl’s total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total amount you have paid to Oowl for the Service in the three (3) months preceding the event giving rise to the claim, or one thousand rupees (₹1,000), whichever is higher.

12. Indemnification

You agree to indemnify and hold harmless Oowl, its owners, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, your infringement of any third-party rights, or your failure to obtain necessary consents from your employees for processing their data.

13. Termination

You may stop using the Service and request account closure at any time by contacting us. Oowl may suspend or terminate your access if you violate these Terms, if your account remains inactive for an extended period, or if required to protect the Service or other customers. Upon termination, your organization’s data will be handled in accordance with our Privacy Policy and any agreement in place with you.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. If the changes are material, we will make a reasonable effort to notify active customers. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. The courts at Yamunanagar, Haryana, India shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or the Service.

Before initiating legal proceedings, both parties agree to attempt in good faith to resolve any dispute through informal discussion. If the dispute cannot be resolved within thirty (30) days through discussion, either party may initiate proceedings in the aforementioned courts.
